Selling a Property with an Outstanding Mortgage

A mortgage does not necessarily prevent a sale, but the price, lender repayment and removal of the registered charge must fit together. Build a dated payment plan before accepting a completion deadline.

Separate the sale, the loan and the registered charge

Selling the home, repaying the borrowing and removing the mortgage entry from the Land Registry are connected tasks with different evidence. A sale contract alone does not prove that your lender has received its money. A final loan payment alone does not remove the registered security. Start by agreeing which outcome the buyer expects and how each step will be documented.

The usual planning route is to repay the existing loan from money available at completion and arrange the mortgage cancellation paperwork. Another possible route is for the buyer to take over the borrowing with the lender's approval. These are different transactions. Do not advertise that a buyer can inherit your interest rate or promise that the bank will release you simply because ownership changes.

A current nota simple helps identify the registered owner, mortgage and other recorded burdens. The mortgage liability shown there can include amounts secured for interest and costs; it is not a current repayment quotation. Compare it with the loan deed and lender's figures rather than treating the largest registry number as the balance you owe. Check whether a separately registered garage or storage room is included in the proposed sale and in the security. A familiar postal address can cover more than one registered property, so match the references rather than assuming that one document covers everything.

If there are joint owners, several borrowers, guarantors, an inherited interest or an active enforcement process, explain this immediately to the professionals handling the sale. Ownership shares and responsibility for borrowing need not match. Resolving who must sign and which security must be released can be more important than choosing a launch date.

Ask the lender for a usable completion figure

Contact the lender early and explain that you intend to sell. Identify the loan reference, the property securing it and the person authorised to request information. If the original bank has merged or transferred the loan, establish the present creditor and the correct contact for repayment and cancellation. An old branch email or a statement from a former servicer may not be enough.

Request a repayment figure calculated for the proposed completion date, with principal, accrued interest, any arrears and any applicable early-repayment charge identified. Ask how long the quotation remains valid and how it changes if completion moves. A mobile-banking balance taken several weeks earlier is useful for orientation, but it does not settle the amount required on signing day.

For loans within Law 5/2019's scope, article 23 regulates advance notice and the information the lender must provide when early repayment is requested. Older loans, later amendments and different borrowers can require a different analysis. Ask which rules and contractual clause support the quoted charge. Do not apply one internet percentage to every Spanish mortgage.

Confirm payment instructions, cut-off times, the lender's cancellation representative and the process for obtaining proof afterwards. Record who will refresh the figure when a date changes. Verify account details through an established contact, especially if a last-minute email asks for a different destination. Share sensitive banking documents only with the people who need them to complete the transaction.

Compare repayment with a buyer taking over the loan

Repaying at completion means the existing debt is settled using the agreed payment arrangements. The buyer's separate mortgage, if any, is a new financing matter and has its own approval timetable. Keep those two lenders' requirements in the same completion plan, so that a buyer's funding date does not conflict with your bank's quotation or availability.

Debtor substitution is different from changing lender. If a buyer proposes to assume your loan, the bank must assess and accept the arrangement. Civil Code article 1205 requires the creditor's consent to substitute the debtor. Obtain written confirmation of your release and the treatment of other borrowers and guarantees; a private agreement between seller and buyer does not by itself establish that release.

Ask for a comparison of the actual costs and conditions of the available routes. Include any agreed modification charge, legal and registration work and the effect on the timetable. An attractive existing rate does not establish that the bank will approve the buyer, keep the same terms or release every guarantor. Keep the marketing description factual while an application is pending.

If one loan is secured on more than one property, selling a single home does not automatically free it once you pay an amount you consider its share. Banco de España explains the need for lender agreement to an individual release in this situation. Have the bank identify the required payment, the property to be released and the continuing security over the other asset before committing to a sale.

Calculate usable proceeds without counting the deposit twice

Prepare two budgets: the total economic result of the sale and the money arriving on completion day. In a hypothetical sale for €420,000, suppose the buyer has already paid a €42,000 deposit, leaving €378,000 to pay. Assume the lender's full dated payoff is €161,200, a separate cancellation-processing provision is €1,500 and other estimated selling costs are €12,500. These are invented figures, not fees or a market quotation.

On those assumptions, fresh completion funds after those deductions are €378,000 minus €161,200 minus €1,500 minus €12,500: €202,800. Adding the €42,000 already received gives €244,800 overall before personal sale taxes and any other obligations. The deposit forms part of the €420,000 price. Adding it to the full price again would overstate your proceeds.

Keep a provision separate from a final expense. Ask who holds it, what it covers, when invoices will be supplied and how any unused amount will be returned. An all-inclusive payoff figure should not also have its interest or repayment charge deducted a second time. Label each budget line as confirmed, estimated or still awaiting a quotation.

Tax residence can change the cash received. Where Spain's non-resident seller withholding applies, the buyer generally retains 3% of the agreed consideration as a payment on account, not 3% of the amount left after repaying the mortgage. For a wholly qualifying hypothetical €420,000 transfer, that is €12,600. Have the tax adviser confirm applicability, ownership shares, filing and the eventual tax calculation; the withholding is not necessarily the final liability.

Review selling costs and taxes

Agree how the money and signatures will move

Before signing a reservation or deposit contract, ask the lawyer to make the repayment and release arrangements consistent with the sale obligations. Identify the completion date, the required mortgage-free outcome, the evidence of discharge and the person responsible for each follow-up. A general promise to sell free of charges needs an operational plan behind it.

The notary, lender and representatives should confirm how the buyer's money will be divided between the mortgage creditor, the seller and any agreed provision holder. Different transactions use different approved payment methods. Do not assume that a transfer sent late in the day will clear in time, or that the lender's representative can attend without an appointment.

Ask for a completion statement showing the full price, deposit already paid, lender repayment and other agreed deductions. Check names, loan reference and property details against the final documents. If a power of attorney will be used, have its suitability checked early, particularly where a seller is abroad or there are several borrowers.

If the expected net money is needed for another purchase, avoid committing it twice. Repayment, withholding, a retained provision or bank processing can reduce the immediately available amount. Ask when you can actually use each part, not simply what the sale price is. Build a workable contingency if the buyer's financing, signatures or repayment figure changes.

Finish the cancellation after the debt is paid

Once the debt is repaid, obtain the lender's certificate of zero debt and track the separate registry cancellation. Banco de España says the zero-debt certificate must be provided free of charge and that the bank should not charge simply for its representative signing or travelling to the notary. This does not make the whole cancellation process free.

Notarial and registration work, and any optional processing service you commission, are separate matters. Ask for an itemised estimate, confirm who has instructed the work and keep invoices. If the bank offers to manage the process, it should explain the service and its cost beforehand. Avoid paying both the bank and another professional for the same task without understanding the division of work.

The ordinary documentary cancellation route includes the cancellation deed, the relevant exempt stamp-duty filing and presentation to the Land Registry. An exemption from payment does not mean every filing step disappears. Have the professional confirm the procedure for the property and circumstances, especially where the loan was repaid long ago or a former creditor no longer exists.

Ask for evidence of presentation, any registry queries and the final completed cancellation. Obtain updated registry information when the process is finished, and reconcile the provision against actual invoices. Keep the repayment receipt, zero-debt certificate and cancellation documents together. A reminder marked 'bank paid' is not a substitute for checking that the charge has been removed.

Resolve shortfalls and turn the file into a selling plan

If the agreed price will not cover the payoff and other amounts due, deal with the gap before accepting an unconditional timetable. Possible discussions include contributing your own funds, changing the sale terms or seeking an arrangement with the lender. None is automatic. The sale does not itself erase an unpaid balance or oblige the bank to release its security.

Prepare a short checklist for your advisers: current ownership and charges; loan and borrower details; dated repayment quotation; costs and tax assumptions; source of any shortfall; approved payment arrangements; signing authority; and the person tracking registry cancellation. Keep one version of the budget that everyone can reconcile, rather than several figures circulating in separate messages.

Continue meeting your existing loan obligations unless the lender has agreed otherwise in writing. Do not cancel the direct debit merely because a buyer has signed a deposit contract. Ask how the final payment, linked account and any related insurance will be treated, and confirm the position after repayment rather than allowing avoidable arrears or duplicate payments to develop.

Give Costa de Oro the property details, preferred timing and any mortgage-related constraints that affect the launch or acceptable completion date. A valuation should assess the property on its market merits; the size of your loan does not establish its value. The agency can organise presentation and buyer communication while your independent advisers and lender confirm the financial and legal route to completion.

Common questions

Can I market the property before repaying the mortgage?

Often yes, provided its position is disclosed accurately and the repayment and release route is workable. Get a current estimate early, then a dated final figure before completion. Do not promise a completion date that depends on unconfirmed bank action.

Does a zero-debt certificate remove the mortgage entry?

No. It evidences repayment, while registry cancellation is a separate process. Ask who will arrange the deed, required filing and registration, and obtain evidence that the recorded charge has actually been cancelled.

Can the buyer simply continue my mortgage payments?

A private payment arrangement does not automatically release you as borrower. A bank-approved debtor substitution requires the lender's consent and clear documentation of which borrowers and guarantees are released. Compare that route with repaying the existing loan.

Nota simple in Spain: a property buyer’s reading guide

A nota simple is an informative extract from Spain’s Property Registry. Use it to identify the registered property, rights holders and recorded charges or restrictions. It is a starting point for your independent legal review, not a complete guarantee of the home’s physical condition or suitability for your plans.
